Associate Director Legal

Responsibilities:

  • Provide necessary advice to the Employer’s legal affairs related to its business operations.
  • Control, manage and direct the activities of the Legal Services function.
  • Provide professional and strategic advice to the chief Executive, Board and senior management from time to time.
  • Implement and manage appropriate systems and processes to ensure the Company’s on-going compliance with their respective responsibilities and obligations under law, regulation and other applicable codes and laws.
  • Oversee the functions of Legal and Corporate Services team to provide support and documentation to the client companies.
  • Ensure that timely service is provided to clients in the areas of incorporation, compliance and termination processes of companies as per set processes and procedures.
  • Ensure timely preparation and submission of annual financial statements profit and loss statements and tax returns by the LCS team.
  • Provide guidance and training to the teams to ensure “Know your customer” rules are adhered to the Bank’s AML Program Manual.
  • Advice to the Employer’s legal affairs related to its business and operations.
  • Advice to Employer’s Group trust and company services, financial products, and other Group lines of business worldwide.
  • Directs activities concerned with contracts for purchase or sale of equipment, materials, products or services; develops and negotiates contracts and purchase orders for goods and services.
  • Maintain the contract control database and monitor and report on contracting status; racks all incoming scan request to ensure that all contracts are entered into the data base.
  • Reviews and determine acceptable proposals for conformity to contract requirements; accurately summarizes key terms in all appropriate proposals / contracts.
  • Advises other departments of contractual rights and obligations; support internal and external enquires inquires and audits.
  • Administer contracting standards and processes ensuring compliance with policies and procedures while finalizing contracts for execution.
  • Act as liaison between sales department and company’s clients, interacts with and supports management for new projects, while taking ownership of the contracting role.
  • In addition to the monitoring and ensuring compliance with the relevant legal requirements, there is also the additional responsibility of Board meetings, General meetings, Company constitution, Statutory Returns, Statutory Registers and Books and other relevant duties.
  • The position is required to serve as corporate secretary and manage the portfolio of Singapore companies, to satisfy local regulatory requirements and deadlines.        
  • Preference is to be given to an individual who can also supervise the trust administration of Singapore trusts.

 Requirements:

  • Bachelor (or Master) degree in Law or a related discipline
  • Minimum of 5 years on the job experience in in a legal, trust or company management firm (Corporate Law firm experience preferred)
  • Member of the Singapore Institute of Chartered Secretary and Administration
  • Trust & Estate Practitioner (TEP) qualified is preferred
  • Need to feel comfortable communicating and dealing with international clients in USA, Latin America and Europe who may not understand the Singapore environment. 
  • Ability to resolve client queries and resolve outstanding issues in a timely and personable manner.
  • Ability to work efficiently to maximize client billings, manage personnel and organize record retention in the E-filing system. 
  • Proactive, able to support the sales effort and add value to the larger commercial transactions undertaken by the group.
